Terms of Service

These Terms of Service ("Terms") govern access to and use of the Jenny platform, operated by AiTiPro (A New Way), based in Portugal. By accessing or using the service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use the service.
1Definitions
"Service" refers to the Jenny platform, accessible at jenny.aitipro.com, including all features, APIs, and associated applications.
"We", "Our", "Us" refers to AiTiPro (A New Way), the entity operating the Service.
"User", "You" refers to any individual or entity that accesses or uses the Service.
"User Content" refers to all data, files, text, and materials you upload, enter, or transmit through the Service.
2Service Description
Jenny is a SaaS (Software as a Service) project management and client delivery platform designed for consulting firms. The service includes:
- Project management with phases, milestones, deliverables, and tasks
- Client portal with secure magic link access
- Financial tracking, invoicing, and budgets
- Time tracking and utilization analysis
- Reports, KPIs, and analytical dashboards
- Integrations with Google Calendar, Google Tasks, HubSpot, and Stripe
- Email notifications and automated digests
3Account Registration and Responsibilities
3.1 Registration
To use the Service, you must create an account by providing true, complete, and up-to-date information. You must be at least 18 years old and have the legal capacity to enter into this agreement.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account or security breach.
3.3 Organization Accounts
If you create an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The organization will be the account holder and responsible for all users it adds.
3.4 Roles and Permissions
The Service uses a role-based permission system (admin, project manager, consultant, viewer). The account administrator is responsible for assigning appropriate roles and managing user access within their organization.
4Subscription and Billing
4.1 Plans and Pricing
The Service is provided on a subscription basis. Available plans, their prices, and included features are described on the pricing page at jenny.aitipro.com. We reserve the right to change prices with 30 days' prior notice.
4.2 Payment
Payments are processed by Stripe, a PCI DSS certified third-party payment processor. By providing your payment details, you agree to Stripe's terms of service. All amounts are in euros and include VAT where applicable.
4.3 Renewal and Cancellation
Subscriptions automatically renew at the end of each billing period. You can cancel your subscription at any time through account settings. Cancellation takes effect at the end of the current billing period, maintaining access to the Service until that date.
4.4 Refunds
Unless otherwise required by law, payments are non-refundable. If you believe you have been charged incorrectly, contact us within 30 days of the charge.
5Intellectual Property
5.1 Service Ownership
The Service, including its software, design, trademarks, logos, and documentation, is owned by AiTiPro or its licensors. These Terms do not grant you any ownership rights over the Service.
5.2 License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription, solely for internal business purposes.
6User Content and Data Ownership
6.1 Your Data Is Yours
You retain all ownership rights over the User Content you enter or upload to the Service. We do not claim any ownership rights over your project data, financial records, documents, or any other content.
6.2 Limited License
By using the Service, you grant us a limited license to host, store, process, and display your User Content solely for the purpose of providing the Service. This license terminates when you delete your content or close your account.
6.3 Data Export
You can export your data at any time through the CSV export features available in the Service, or by requesting a complete export via email to bilal@aitipro.pt.
6.4 Content Responsibility
You are responsible for the content you enter into the Service and warrant that you have the necessary rights to use it. You must not enter content that violates third-party rights, applicable laws, or these Terms.
7Acceptable Use Policy
By using the Service, you agree not to:
- Use the Service for illegal or unauthorized purposes
- Attempt to access accounts, systems, or networks without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
- Transmit malware, viruses, or malicious code
- Intentionally overload the Service infrastructure
- Resell, sublicense, or redistribute the Service without written authorization
- Use the Service to store or transmit illegal, defamatory content, or content that violates third-party rights
- Use automated systems to extract data from the Service (scraping)
Violation of this policy may result in immediate suspension or termination of your account.
8Service Availability
8.1 Availability
We strive to keep the Service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
8.2 Scheduled Maintenance
Whenever possible, we will provide advance notice of scheduled maintenance periods that may affect Service availability.
8.3 Changes to the Service
We reserve the right to modify, suspend, or discontinue Service features at any time. For significant changes, we will provide reasonable prior notice.
9Limitation of Liability
9.1 Disclaimer of Warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 Liability Cap
To the maximum extent permitted by applicable law, AiTiPro's total liability for any claims related to the Service shall not exceed the total amount paid by you in the 12 months preceding the event giving rise to the claim.
9.3 Exclusions
In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, reputation, or business opportunities, even if we have been advised of the possibility of such damages.
9.4 Consumer Rights
Nothing in these Terms limits any rights granted to you by EU or Portuguese consumer protection legislation that cannot be excluded by contract.
10Indemnification
You agree to indemnify and hold harmless AiTiPro, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from: (a) your use of the Service; (b) violation of these Terms; (c) violation of third-party rights; or (d) your User Content.
11Termination
11.1 Termination by User
You can close your account at any time through account settings or by contacting us via email. After closure, your data will be retained as described in our Privacy Policy.
11.2 Termination by Us
We may suspend or terminate your account if: (a) you violate these Terms; (b) you use the Service in a way that poses a security risk; (c) you fail to pay your subscription; or (d) as required by law. Whenever possible, we will provide prior notice and an opportunity to export your data.
11.3 Effects of Termination
Upon termination: (a) your license to use the Service ceases immediately; (b) you must stop all use of the Service; (c) data will be deleted according to the retention periods defined in the Privacy Policy. Clauses that by their nature should survive termination will remain in effect.
12Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Portuguese Republic and, where applicable, European Union legislation.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Portuguese courts, without prejudice to any rights you may have under the consumer protection legislation of your country of residence.
13Dispute Resolution
Before resorting to any judicial proceedings, the parties commit to attempting to resolve any dispute amicably. You should first contact us by email at bilal@aitipro.pt, describing the issue.
If the dispute is not resolved within 30 days of notification, either party may resort to available legal remedies. For EU consumers, the European Commission's online dispute resolution platform is also available at ec.europa.eu/consumers/odr.
14Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be notified at least 30 days in advance by email or notice on the platform. Continued use of the Service after the changes take effect constitutes acceptance of the new Terms. If you do not agree with the changes, you should stop using the Service and close your account.
15General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and AiTiPro regarding the Service.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it in the future.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in the event of a merger, acquisition, or asset sale.
